Box Elder Hunt Club Lease Agreement

 

 LEASE AGREEMENT

This Lease Agreement ("Lease") is made effective this I st day of August, 20 II, by and between Jack Baker ("Landlord") and Box Elder Hunt Club Inc., a Virginia corporation ("Tenant").

A. Landlord is the owner of the real property and improvements on approximately 6.8 acres located on Manning Road (former State Route 643), Suffolk, Virginia (the "Property") as shown on Exhibit A attached hereto and more definitively described as:

Starting at the southeast corner of Tax Map Parcel 42* II at Manning Road (State Route 643), going approximately 1400 feet generally West along the southern property line to a point, thence generally North 900 feet to a point, thence generally East 340 feet to a point, thence generally South 870 feet along an existing ditch to a point that is within 30 feet of the first line, thence generally East 1080 feet, parallel but offset 30' north of the first line, to its intersection with Manning Road (State Route 643).

B. Tenant currently leases the Property from Landlord for operating a hunt club.

C. Landlord and Tenant now intend to make provisions for a perpetual lease with all the rights thereto to inure to the benefit of the parties' heirs, beneficiaries, successors and assigns based on the terms and conditions contained in this Lease.

NOW THEREFORE, for valuable consideration, the sufficiency of which is hereby acknowledged, Landlord and Tenant, intending to be bound by this Lease, agree as follows:

1. Property. Landlord hereby conveys to Tenant the exclusive lease and right to use the Property and Tenant agrees to lease the Property from Landlord.

1.1. Ingress/Egress. Landlord grants a non-exclusive easement and right to use a 30 foot width entrance, off Manning Road for ingress/egress purposes to the Property and has already granted Community Electric Cooperative an easement for electrical power lines to supply the property.

1.2. Use of Property. The Property shall be used for the benefit of Tenant and its members as a clubhouse and hunt club. Tenant shall have the right to rent the clubhouse for social gatherings, parties and/or events to third parties. Tenant shall not knowingly permit any unlawful or illegal business or other activity to be conducted, carried on, or operated on the Property.

2. Term.

2.1 Initial Term. This Lease shall begin on August 1, 2011 ("Commencement Date") for an initial term of 99 years ending on December 31, 2110 ("Termination Date").

2.2 Renewal Term. This Lease shall automatically renew for an additional period of 99 years at the end of the Initial Term or any Renewal Term, unless either party gives written notice as provided in this Lease. Tenant shall have the right, at its election, to extend the term of this Lease for two (2) back to back 99-year periods ("Renewal Option"), commencing upon the expiration of the Initial Term on all the same terms, conditions and agreements stated in this Lease. The Renewal Option must be exercised by written notice from Tenant to Landlord given not later than six (6) months prior to the expiration of the Initial Term. As used in this Lease, "Term" means both the Initial Term and any Renewal Option that has been exercised, the Renewal Term, unless the context clearly requires otherwise.

2.3 Ongoingl/Perpetual Lease. It is the express written intent of the Landlord that Tenant and its members along with the future children, grandchildren and following generational heirs of its members have the ongoing and exclusive right to lease the Property for as long as Tenant is in existence. Land lord expressly acknowledges and agrees that it is his intent that his children, heirs, beneficiaries, successors and assigns be bound by the terms of this Lease and all its obligations.

 

3. Rent.

3.1. Rent. Tenant shall pay Landlord without prior demand being made and without offset of any kind, the annual rent equal to the sum of one hundred fifty and nol l 00 dollars ($150.00) plus the then current property taxes assessed on the Property ("Rent"). (For example, if annual property taxes on the Property amount to $1,000.00, Tenant shall pay Landlord an annual sum total Rent in the amount of $1 ,150.00 [$150.00 + $1,000.00])

3.2. Annual Rent Adjustments. The Rent shall be adjusted annually as necessary and upon the issuance of property tax assessments from the City of Suffolk.

4. Utilities. All utilities shall be placed in Tenant's name. Tenant will pay all charges for water, sewer, storm water management fees, electricity, telephone, internet and other utilities supplied to the Property and used by Tenant during the Term.

5. Improvements/RepairslMaintenance.

5.1. Improvements. Tenant shall have the right, at its sole expense, to make additions and/or improvements to the clubhouse and Property. All improvements on behalf of Tenant that become fixtures to the Property shall immediately become the property of Landlord and shall remain the property of Landlord at the termination of the Lease. All improvements made by Tenant shall comply with local , city, county and historic rules and regulations. Tenant agrees to indemnify and hold Landlord harmless for and against all damages and causes of action of any kind due to Tenant's improvements to the Property.

5.2. Repair/Maintenance. Tenant, at Tenant's expense, shall have the sole responsibility for the maintenance of the clubhouse, both inside and outside, and for its repair and upkeep. Tenant shall keep the clubhouse and grounds in good condition at all times and shall make any reasonable repairs or improvements, if requested by Landlord.

6. Insurance. Tenant agrees to maintain such property and general liability insurance as the Tenant deems advisable. In the event the clubhouse is destroyed in whole or in part, Landlord shall not be obligated to rebuild the clubhouse. Tenant at its sole discretion and cost may choose to rebuild the clubhouse.

7. Liability of Landlord. Landlord shall not be liable or responsible for any damage to person or property sustained in or about the Property during the term of the Lease, except for Landlord's gross negligence or criminal actions. Tenant, its officers, members, guests and invitees shall indemnify and hold the Landlord harmless for all causes of action arising from Tenant's use of the Property.

8. Termination. The parties may terminate the Lease as follows:

8.1. By Tenant. Tenant may terminate this Lease at any time by giving Landlord no less than sixty (60) days written notice of its intent to terminate the Lease. In the event the members of Tenant decide to dissolve the entity, the Lease shall automatically terminate upon 60 days written notice to Landlord Upon termination by Tenant, all improvements shall automatically revert to the Landlord with no financial obligations to the Tenant. Notwithstanding the forgoing, Tenant shall have the right to remove all its furniture, personal property, equipment and non-fixtures from the Property.

8.2. By Landlord. In the event the Landlord has a bona-fide, good faith executed contract for the sale or development of the Property, Landlord may terminate this Lease by giving Tenant no less than one hundred eighty (180) days written notice of his intent to terminate the Lease.

8.2.1. Tenant shall have one hundred eighty (180) days to vacate the Property unless agreed to in writing by the parties. Tenant shall have the right to remove all its personal property, equipment and non-fixtures from the Property.

8.2.2. Landlord shall pay Tenant an amount equal to the fair market value for the clubhouse and any other improvements made by Tenant ("Improvement Value"). The Improvement Value shall not include the value of the real property and shall be determined by a mutually agreed upon appraiser whose determination wi II be binding on the parties. Landlord agrees to pay the Improvement Value to Tenant in a lump sum payment no later than one hundred eight (180) days after giving the termination notice to Tenant.

9. Notices. Any notice which either party mayor is required to give, shall be given by mailing the same, postage prepaid, to the addresses specified designated by the parties from time to time. Notices from Landlord to Tenant shall be copied and mailed to the corporation's Registered Agent and President on record with the Virginia State Corporation Commission.

10. Heirs, Assigns, Successors. This Lease and all its terms, covenants, representations, warranties and conditions is binding upon, and inures to the benefit of and shall be enforceable by the parties hereto and their respective successors and assigns. Landlord, his children, and future heirs shall be members of Box Elder Hunt Club at their request and at no cost.

11. Governing Law. This Lease shall be governed by, construed and enforced under the laws of the Commonwealth of Virginia. Jurisdiction and venue is vested in the proper courts located within the City of Suffolk, Virginia.

12. Entire Agreement. This Lease is the entire Lease between Landlord and Tenant and supersedes all prior Leases, arrangements and understandings which led to the subject matter hereof and may only be amended by a writing signed by both Landlord and the authorized officer or director of Tenant.

 13. Waiver. Failure of any party at any time or times to require performance of any provision hereof shall in no manner affect the right at a later time to enforce the provisions. No waiver by either party of any condition, or the breach of any term, covenant, representation or warranty contained in this Lease, whether by conduct or otherwise, in anyone or more instances, shall be deemed a further or continuing waiver of any condition or covenant, representation or warranty of this Lease.

14. Headings. The captions and headings herein are for convenience and reference only and in no way define or limit the scope or content of this Lease or in any way affect its provisions. Wherever used herein, the plural shall include the singular and the singular the plural, and the use of any gender shall include all other genders when the context so requires.

15. Severability. Should any provision of this Lease be or become invalid, void, illegal or not enforceable, it shall be considered separate and severable from the Lease and the remaining provisions shall remain in force and be binding upon the parties hereto as though such provision had not been included.
